Brand Registration Authorization

Effective Version: 2026-08-06-v3 · August 6, 2026

AI RESEARCH LLC — DIVINYT™ Platform

Referenced from Telephony Onboarding

This authorization is referenced from the onboarding declaration checkbox in the SaaS telephony onboarding flow. By submitting the telephony onboarding form, the Customer accepts this authorization as incorporated into the Terms of Service by reference.

By submitting the telephony onboarding form on the Divinyt platform, the Customer (the business identified by the EIN provided during onboarding) hereby authorizes AI Research LLC (the "Operator") and its telephony infrastructure partner (currently Twilio Inc.) to take the following actions on the Customer's behalf for the sole purpose of enabling SMS and voice communications under the Customer's own brand:

  1. Submit a Secondary Customer Profile to Twilio's TrustHub on the Customer's behalf using the business identity, address, and authorized representative information the Customer provided during onboarding.
  2. Submit an A2P 10DLC Brand registration to The Campaign Registry (TCR) using the Customer's EIN, legal business name, business address, industry, and other business identity attributes the Customer provided. The Customer acknowledges that:
    • The Brand is registered on the Customer's own EIN, not the Operator's.
    • The Customer is the legal sponsor of the Brand and is responsible for any messaging traffic sent under it.
    • The Brand record persists in TCR as long as the Customer maintains active service.
  3. Submit one or more A2P 10DLC Campaign(s) under that Brand, describing the Customer's messaging use case, sample messages, opt-in workflow, and opt-out keywords.
  4. Provision a dedicated Twilio Subaccount for the Customer and attach one or more phone numbers to it from the Operator's trial pool. Once the Brand is approved, those phone numbers are transferred to the Customer's Subaccount with continuity of any active conversation threads preserved.
  5. Submit the Customer Profile, Trust Product, Brand, and Campaign for periodic re-evaluation by Twilio and TCR as required by either party's compliance rules.

Customer Acknowledgments

By submitting the onboarding form, the Customer represents and acknowledges that:

  • The EIN and business identity information submitted are accurate and that the Customer is legally entitled to send messages and place calls under the registered Brand;
  • The Authorized Representative identified in the onboarding form has actual authority to bind the Customer to this authorization;
  • The Customer has obtained, or will obtain prior to any outbound message or call, prior express consent from each recipient, satisfying the TCPA, the FCC's implementing regulations, and applicable state telemarketing statutes;
  • The Customer will not place outbound messages or calls to numbers on the National Do Not Call Registry or any internal/state do-not-call list applicable to the Customer;
  • The Customer will honor opt-out requests received through any reasonable channel within 10 business days as required by 47 C.F.R. § 64.1200, and acknowledges that the Operator's platform also automatically honors STOP/UNSUBSCRIBE/REMOVE/OPT-OUT keywords;
  • The Customer will not use the Operator's platform for any use case prohibited by the Acceptable Use Policy;
  • The Customer indemnifies the Operator from any claims, suits, demands, or damages arising from the Customer's outreach activities, including any TCPA, TSR, FCC, FTC, state telemarketing, or do-not-call claim.

Revocation

The Customer may revoke this authorization at any time by emailing support@divinyt.ai from the Authorized Representative's address on file. Upon revocation, the Operator will (a) stop initiating new Brand or Campaign filings on the Customer's behalf, (b) leave existing Brand/Campaign records intact (which the Customer remains free to take over directly with Twilio), and (c) suspend the Customer's outbound messaging service. Revocation does not relieve the Customer of obligations that arose during the period the authorization was in effect.

Record of Acceptance

Each onboarding submission creates an immutable row in the Operator's client attestations log capturing the EIN, full text of this authorization at the version in effect, the Authorized Representative's IP address, browser User-Agent, and screen resolution at the moment of submission. That record is retained for the life of the Customer's account plus the applicable statute of limitations for TCPA claims.
